§ 1 Provider and Scope

These Terms of Service apply to all contracts between

(hereinafter "Yachay Systems" or "we")

and businesses, self-employed individuals, or other commercial operators (hereinafter "Customer") who use our AI communication services.

Deviating terms of the Customer shall not apply unless we expressly agree to them in writing.

§ 2 Description of Services

Yachay Systems offers AI-powered communication automation as Software-as-a-Service (SaaS). The services include:

§ 3 Contract Formation

The contract is formed when the Customer completes the payment process via our payment provider Stripe and receives a purchase confirmation by email. By purchasing, the Customer confirms having read and accepted these Terms of Service and the Privacy Policy.

After purchase, the Customer receives an email with information about the next steps and an onboarding form. The actual setup of the agent takes place after the form has been completed and the onboarding call has been conducted.

§ 4 Prices and Payment Terms

4.1 Pricing Structure

Services are billed in two components:

All stated prices are net prices plus applicable VAT. For customers based in Germany, VAT is 19%. Customers from other EU member states are billed according to the respective national tax rates under the EU OSS procedure. For B2B customers with a valid EU VAT identification number, VAT is not charged (reverse charge procedure).

4.3 Payment Processing

Payment processing is handled by Stripe, Inc. (Stripe Payments Europe, Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, D02 H210, Ireland). By completing the purchase, the Customer also accepts Stripe's Terms of Service. Stripe stores and processes payment data in accordance with PCI-DSS standards. Yachay Systems has no access to complete payment data (e.g., credit card numbers).

4.4 Founder Partner Price

Customers who purchase under the Founder Partner Program receive a permanently frozen monthly price. This price applies for the duration of the active contract and will not be adjusted in case of future price increases, as long as the subscription remains active. An interruption of the subscription results in the loss of the Founder Partner price.

§ 5 Term and Termination

The monthly subscription begins with the first payment and renews automatically each month. There is no minimum contract term.

Either party may terminate the subscription at any time at the end of the current billing period. Termination is made by written notice via email to info@yachay.systems or directly through the Stripe customer portal.

After termination of the subscription, all agents are deactivated. Stored data is handled in accordance with the Privacy Policy.

§ 6 Refund Policy

We offer a full refund guarantee: Within the first 14 days after purchase, Yachay Systems will refund the entire setup fee upon request, no questions asked.

Monthly license fees are not refundable. Refund requests should be sent by email to info@yachay.systems.

For consumers as defined by § 13 BGB (German Civil Code), the statutory right of withdrawal of 14 days applies, provided the service has not yet commenced.

§ 7 AI-Generated Content

The agents provided by Yachay Systems use third-party language models (including, but not limited to, Google, OpenAI, and DeepSeek) to generate responses. The availability and performance of these models depend on the respective providers and are outside the control of Yachay Systems. These responses may occasionally be inaccurate. The Customer is responsible for ensuring that critical information (e.g., medical, legal, or financial advice) is verified by qualified personnel before decisions are made based on it.

Yachay Systems assumes no liability for damages arising from the use of AI-generated responses.

§ 8 Customer Obligations

We strive for high availability of our services but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible. Downtime or maintenance periods do not entitle the Customer to a refund unless the interruption exceeds 72 hours per month.

§ 10 Limitation of Liability

KonzeptWeber LLC is liable without limitation only in cases of intent and gross negligence, as well as for injury to life, body, or health.

In cases of slight negligence, KonzeptWeber LLC is only liable for the breach of essential contractual obligations (cardinal obligations), limited to the typically foreseeable damage. In this case, liability is limited to the sum of fees paid in the last 3 months.

Liability for indirect damages, lost profits, or data loss is excluded to the extent permitted by law.

§ 11 Data Protection

Information on the processing of personal data can be found in our Privacy Policy.

§ 12 Amendments to the Terms of Service

We reserve the right to amend these Terms of Service with 30 days' notice by email. If the Customer does not object to the amendment within this period, the new Terms of Service are deemed accepted. The right to terminate remains unaffected.

§ 13 Applicable Law and Jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory consumer protection provisions of the country in which the consumer has their habitual residence apply.

For disputes with businesses, jurisdiction shall be determined in accordance with applicable law.

§ 14 Severability Clause

Should individual provisions of these Terms of Service be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected.

§ 1 Anbieter und Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Verträge zwischen

(nachfolgend „Yachay Systems" oder „wir")

und Unternehmen, Selbstständigen oder sonstigen Gewerbetreibenden (nachfolgend „Kunde"), die unsere KI-Kommunikationsdienste nutzen.

Abweichende Bedingungen des Kunden haben keine Gültigkeit, sofern wir diesen nicht ausdrücklich schriftlich zustimmen.

§ 2 Leistungsbeschreibung

Yachay Systems bietet KI-gestützte Kommunikationsautomatisierung als Software-as-a-Service (SaaS) an. Die Leistungen umfassen:

Der genaue Leistungsumfang ergibt sich aus dem gewählten Paket zum Zeitpunkt des Kaufs.

§ 3 Vertragsschluss

Der Vertrag kommt zustande, wenn der Kunde den Zahlungsvorgang über unseren Zahlungsanbieter Stripe abschließt und eine Kaufbestätigung per E-Mail erhält. Mit dem Kauf bestätigt der Kunde, diese AGB sowie die Datenschutzerklärung gelesen und akzeptiert zu haben.

Nach dem Kauf erhält der Kunde eine E-Mail mit Informationen zu den nächsten Schritten sowie einem Onboarding-Formular. Die tatsächliche Einrichtung des Agenten erfolgt nach Ausfüllen des Formulars und Durchführung des Onboarding-Gesprächs.

§ 4 Preise und Zahlungsbedingungen

4.1 Preisstruktur

Die Leistungen werden in zwei Komponenten abgerechnet:

4.2 Umsatzsteuer / Mehrwertsteuer

Alle angegebenen Preise verstehen sich netto zuzüglich der gesetzlich anfallenden Mehrwertsteuer. Für Kunden mit Sitz in Deutschland beträgt die Mehrwertsteuer 19 %. Kunden aus anderen EU-Mitgliedstaaten werden gemäß den jeweils geltenden nationalen Steuersätzen im Rahmen des EU-OSS-Verfahrens abgerechnet. Bei B2B-Kunden mit gültiger EU-Umsatzsteuer-Identifikationsnummer entfällt die Umsatzsteuer (Reverse-Charge-Verfahren).

4.3 Zahlungsabwicklung

Die Zahlungsabwicklung erfolgt über Stripe, Inc. (Stripe Payments Europe, Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, D02 H210, Irland). Mit Abschluss des Kaufvorgangs akzeptiert der Kunde auch die Nutzungsbedingungen von Stripe. Stripe speichert und verarbeitet Zahlungsdaten gemäß PCI-DSS-Standards. Yachay Systems hat keinen Zugriff auf vollständige Zahlungsdaten (z. B. Kreditkartennummern).

4.4 Gründer-Partner-Preis

Kunden, die im Rahmen des Gründer-Partner-Programms kaufen, erhalten einen dauerhaft eingefrorenen monatlichen Preis. Dieser Preis gilt für die Dauer des aktiven Vertrags und wird bei künftigen Preiserhöhungen nicht angepasst, solange das Abonnement aktiv bleibt. Eine Unterbrechung des Abonnements führt zum Verlust des Gründer-Partner-Preises.

§ 5 Laufzeit und Kündigung

Das monatliche Abonnement beginnt mit der ersten Zahlung und verlängert sich automatisch monatlich. Es gibt keine Mindestlaufzeit.

Beide Parteien können das Abonnement jederzeit zum Ende des laufenden Abrechnungszeitraums kündigen. Die Kündigung erfolgt durch schriftliche Mitteilung per E-Mail an info@yachay.systems oder direkt über das Stripe-Kundenportal.

Nach Beendigung des Abonnements werden alle Agenten deaktiviert. Gespeicherte Daten werden gemäß der Datenschutzerklärung behandelt.

§ 6 Rückerstattungsrichtlinie

Wir gewähren eine vollständige Rückerstattungsgarantie: Innerhalb der ersten 14 Tage nach dem Kauf erstattet Yachay Systems auf Anfrage die gesamte Einrichtungsgebühr, ohne Angabe von Gründen.

Monatliche Lizenzgebühren werden nicht erstattet. Rückerstattungsanfragen sind per E-Mail an info@yachay.systems zu richten.

Für Verbraucher im Sinne des § 13 BGB gilt das gesetzliche Widerrufsrecht von 14 Tagen, sofern die Dienstleistung noch nicht begonnen hat.

§ 7 KI-generierte Inhalte

Die von Yachay Systems bereitgestellten Agenten nutzen Sprachmodelle Dritter (insbesondere Google, OpenAI und DeepSeek) zur Generierung von Antworten. Die Verfügbarkeit und Leistung dieser Modelle hängt von den jeweiligen Anbietern ab und liegt außerhalb des Einflussbereichs von Yachay Systems. Diese Antworten können gelegentlich ungenau sein. Der Kunde ist dafür verantwortlich, dass kritische Informationen (z. B. medizinische, rechtliche oder finanzielle Auskünfte) durch qualifiziertes Personal überprüft werden, bevor darauf basierend Entscheidungen getroffen werden.

Yachay Systems übernimmt keine Haftung für Schäden, die aus der Nutzung KI-generierter Antworten entstehen.

§ 8 Pflichten des Kunden

§ 9 Verfügbarkeit

Wir streben eine hohe Verfügbarkeit der Dienste an, können jedoch keine ununterbrochene Nutzbarkeit garantieren. Geplante Wartungsarbeiten werden nach Möglichkeit im Voraus angekündigt. Ausfall- oder Wartungszeiten begründen keinen Anspruch auf Rückerstattung, es sei denn, die Unterbrechung überschreitet 72 Stunden pro Monat.

§ 10 Haftungsbeschränkung

KonzeptWeber LLC haftet unbeschränkt nur bei Vorsatz und grober Fahrlässigkeit sowie bei Verletzung von Leben, Körper oder Gesundheit.

Bei leichter Fahrlässigkeit haftet KonzeptWeber LLC nur bei Verletzung wesentlicher Vertragspflichten (Kardinalpflichten), und zwar begrenzt auf den typischerweise vorhersehbaren Schaden. Die Haftung ist in diesem Fall auf die Summe der in den letzten 3 Monaten gezahlten Vergütung begrenzt.

Eine Haftung für indirekte Schäden, entgangenen Gewinn oder Datenverlust ist ausgeschlossen, soweit gesetzlich zulässig.

§ 11 Datenschutz

Informationen zur Verarbeitung personenbezogener Daten finden sich in unserer Datenschutzerklärung.

§ 12 Änderungen der AGB

Wir behalten uns vor, diese AGB mit einer Ankündigungsfrist von 30 Tagen per E-Mail zu ändern. Widerspricht der Kunde der Änderung nicht innerhalb dieser Frist, gelten die neuen AGB als akzeptiert. Das Recht zur Kündigung bleibt unberührt.

§ 13 Anwendbares Recht und Gerichtsstand

Es gilt das Recht der Bundesrepublik Deutschland, unter Ausschluss des UN-Kaufrechts (CISG). Bei Verbrauchern gelten zwingende Schutzvorschriften des Landes, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat.

Für Streitigkeiten mit Unternehmern ist der Gerichtsstand nach Maßgabe des anwendbaren Rechts zu bestimmen.

§ 14 Salvatorische Klausel

Sollten einzelne Bestimmungen dieser AGB unwirksam oder undurchführbar sein, berührt dies die Wirksamkeit der übrigen Bestimmungen nicht.

y empresas, autónomos u otros operadores comerciales (en adelante "Cliente") que utilicen nuestros servicios de comunicación con IA.

Las condiciones divergentes del Cliente no serán aplicables a menos que las aceptemos expresamente por escrito.

§ 2 Descripción de los servicios

Yachay Systems ofrece automatización de comunicación impulsada por IA como Software-as-a-Service (SaaS). Los servicios incluyen:

§ 3 Formación del contrato

El contrato se formaliza cuando el Cliente completa el proceso de pago a través de nuestro proveedor de pagos Stripe y recibe una confirmación de compra por correo electrónico. Con la compra, el Cliente confirma haber leído y aceptado estos Términos y Condiciones y la Política de Privacidad.

Después de la compra, el Cliente recibe un correo electrónico con información sobre los próximos pasos y un formulario de incorporación. La configuración real del agente se realiza después de completar el formulario y realizar la llamada de incorporación.

§ 4 Precios y condiciones de pago

4.1 Estructura de precios

Los servicios se facturan en dos componentes:

4.2 IVA / Impuesto sobre ventas

Todos los precios indicados son precios netos más el IVA aplicable. Para clientes con sede en Alemania, el IVA es del 19%. Los clientes de otros estados miembros de la UE se facturan según las tasas impositivas nacionales respectivas bajo el procedimiento EU-OSS. Para clientes B2B con un número de identificación fiscal de la UE válido, no se cobra IVA (procedimiento de inversión del sujeto pasivo).

4.3 Procesamiento de pagos

El procesamiento de pagos se realiza a través de Stripe, Inc. (Stripe Payments Europe, Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, D02 H210, Irlanda). Al completar la compra, el Cliente también acepta los Términos de Servicio de Stripe. Stripe almacena y procesa datos de pago de acuerdo con los estándares PCI-DSS. Yachay Systems no tiene acceso a datos de pago completos (por ejemplo, números de tarjetas de crédito).

4.4 Precio de Socio Fundador

Los clientes que compran bajo el Programa de Socio Fundador reciben un precio mensual congelado permanentemente. Este precio se aplica durante la duración del contrato activo y no se ajustará en caso de futuros aumentos de precio, siempre que la suscripción permanezca activa. Una interrupción de la suscripción resulta en la pérdida del precio de Socio Fundador.

§ 5 Duración y rescisión

La suscripción mensual comienza con el primer pago y se renueva automáticamente cada mes. No hay un período mínimo de contrato.

Cualquiera de las partes puede rescindir la suscripción en cualquier momento al final del período de facturación actual. La rescisión se realiza mediante notificación escrita por correo electrónico a info@yachay.systems o directamente a través del portal de cliente de Stripe.

Tras la terminación de la suscripción, todos los agentes se desactivan. Los datos almacenados se manejan de acuerdo con la Política de Privacidad.

§ 6 Política de reembolso

Ofrecemos una garantía de reembolso completa: dentro de los primeros 14 días después de la compra, Yachay Systems reembolsará la totalidad de la tarifa de configuración a solicitud, sin necesidad de justificación.

Las tarifas de licencia mensual no son reembolsables. Las solicitudes de reembolso deben enviarse por correo electrónico a info@yachay.systems.

Para los consumidores según la definición del § 13 BGB (Código Civil alemán), se aplica el derecho legal de desistimiento de 14 días, siempre que el servicio no haya comenzado.

§ 7 Contenido generado por IA

Los agentes proporcionados por Yachay Systems utilizan modelos de lenguaje de terceros (incluidos, entre otros, Google, OpenAI y DeepSeek) para generar respuestas. La disponibilidad y el rendimiento de estos modelos dependen de los respectivos proveedores y están fuera del control de Yachay Systems. Estas respuestas pueden ser ocasionalmente inexactas. El Cliente es responsable de garantizar que la información crítica (por ejemplo, consejos médicos, legales o financieros) sea verificada por personal cualificado antes de tomar decisiones basadas en ella.

Yachay Systems no asume ninguna responsabilidad por daños derivados del uso de respuestas generadas por IA.

§ 8 Obligaciones del Cliente

Nos esforzamos por lograr una alta disponibilidad de nuestros servicios, pero no podemos garantizar un acceso ininterrumpido. El mantenimiento programado se anunciará con antelación cuando sea posible. Los tiempos de inactividad o mantenimiento no dan derecho al Cliente a un reembolso, a menos que la interrupción supere las 72 horas por mes.

§ 10 Limitación de responsabilidad

KonzeptWeber LLC solo es responsable sin limitación en casos de dolo y negligencia grave, así como por lesiones a la vida, el cuerpo o la salud.

En casos de negligencia leve, KonzeptWeber LLC solo es responsable por el incumplimiento de obligaciones contractuales esenciales (obligaciones cardinales), limitado al daño típicamente previsible. En este caso, la responsabilidad se limita a la suma de las tarifas pagadas en los últimos 3 meses.

La responsabilidad por daños indirectos, lucro cesante o pérdida de datos queda excluida en la medida permitida por la ley.

§ 11 Protección de datos

La información sobre el procesamiento de datos personales se encuentra en nuestra Política de Privacidad.

§ 12 Modificaciones de los Términos y Condiciones

Nos reservamos el derecho de modificar estos Términos y Condiciones con un preaviso de 30 días por correo electrónico. Si el Cliente no se opone a la modificación dentro de este plazo, los nuevos Términos y Condiciones se consideran aceptados. El derecho de rescisión no se ve afectado.

§ 13 Legislación aplicable y jurisdicción

Se aplica la legislación de la República Federal de Alemania, con exclusión de la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías (CISG). Para los consumidores, se aplican las disposiciones obligatorias de protección al consumidor del país en el que el consumidor tiene su residencia habitual.

Para disputas con empresas, la jurisdicción se determinará de acuerdo con la legislación aplicable.

§ 14 Cláusula de salvaguardia

Si alguna disposición de estos Términos y Condiciones es o se vuelve inválida o inaplicable, la validez de las disposiciones restantes no se verá afectada.
